These Payment Terms & Conditions (“Terms”) govern all payments made for access to the back-office software, mobile applications, platforms, websites, and related products and services (“Services”) provided by REDVision Global Technologies (“Company”, “we”, “our”, “us”).
By proceeding with payment, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require physical or digital signatures.
1. Payment Methods
Payments may be made through:
- UPI
- Net Banking
- Debit/Credit Cards
- or any other payment mode made available on our platform
All payments are processed through authorised third-party payment gateways and RBI-regulated banks in accordance with applicable RBI guidelines.
We do not store your card, UPI or net banking credentials. All sensitive payment data is directly processed by the payment gateway.
Where auto-debit/e-mandates are enabled, such transactions shall be governed by applicable RBI e-mandate regulations, and you authorise us and our payment partners to debit subscriptions as per such mandates.
2. Pricing, Taxes & TDS
- All fees are payable in Indian Rupees (INR).
- Applicable GST and statutory taxes shall be levied as per law.
- Pricing may be revised for future subscriptions/renewals.
- Active subscriptions remain valid at the price for the subscribed term.
- Where payment reversals for failed transactions are processed by the bank/payment gateway, applicable GST treatment shall be in accordance with law.
3. Subscription / License Nature
Payments relate to:
- subscription fees
- renewal fees
- onboarding/setup/implementation charges
- service charges
The subscription grants a limited, non-exclusive, non-transferable, revocable license to use the Services during the subscription term, subject to compliance with these Terms.
Intellectual Property
All intellectual property rights in the software, platform, content, documentation, UI/UX and proprietary tools remain the exclusive property of the Company.
You shall not:
- copy, modify, reproduce or distribute
- reverse engineer, decompile or disassemble
- resell, rent, lease, sublicense or exploit commercially
except as expressly permitted in writing. Access is provided only upon successful payment realisation.
4. Cancellation Policy
- Once paid, subscription/license fees are non-cancellable.
- Setup, onboarding, and implementation charges are strictly non-refundable.
- Nothing in this clause limits any statutory consumer rights applicable under law.
5. Refund Policy
All payments made for our software, mobile apps, services, subscriptions, renewals, setup or feature charges are non-refundable in all cases.
No refund will be processed under any circumstances, including but not limited to:
- change of mind
- non-use of services
- dissatisfaction with features or performance
- partial use of the subscription period
- termination initiated by the user
- delay or failure attributable to the bank/payment gateway/internet/third parties
- Requests made after activation or onboarding
Before purchasing, users may request a free product demo.
Users can avail multiple demos to fully understand the product before making payment.
Once payment is completed, no refund shall be provided for any reason whatsoever.
Important: By making the payment, you acknowledge that you have reviewed the product through a demo (if required) and agree to the no-refund policy.
6. Failed or Unsuccessful Transactions
If money is debited from your account but the transaction fails, remains pending or is rejected:
- the amount will be automatically reversed to the same payment source
- reversal timelines are governed by the bank/payment gateway (generally 5–7 working days)
- we do not control these timelines
Responsibility for reversal lies solely with the bank/payment gateway.
7. Payment Gateway Disclaimer
Payments are processed via independent third-party payment gateways. Use of such payment gateway services shall be subject to their terms, privacy policies and security standards. We shall not be liable for:
- failed or delayed transactions
- duplicate charges
- technical issues at bank/gateway end
- data breach or PCI-DSS failure at gateway level
We are not a party to any separate agreement between you and the payment gateway.
8. Non-Payment / Delay in Payment
In case of:
- non-payment
- charge failure
- cheque bounce
- repeated defaults
we may suspend or terminate access to Services without further notice.
Reactivation may require:
- payment of outstanding dues
- applicable penalties
- reactivation charges (if applicable)
Outstanding payment obligations survive suspension or termination.
9. Chargebacks and Payment Disputes
You agree to first notify us of any transaction dispute before initiating a chargeback. Raising a chargeback for validly delivered Services shall constitute breach of contract. We reserve the right to:
- recover chargeback penalties
- payment gateway fees
- legal and recovery costs
- suspend Services during investigation
10. User Declarations & Responsibility
You confirm that:
- the payment instrument belongs to you / you are authorised to use it
- information furnished is accurate and complete
- funds used are legitimate and lawfully obtained
You agree to indemnify us against losses arising out of misuse of payment instruments. You further confirm that payments do not constitute proceeds of crime under PMLA, 2002.
11. Service Availability, Warranty & Disclaimer
Services are provided on an “as is” and “as available” basis. We do not warrant that Services will be:
- uninterrupted
- error-free
- virus-free
- compatible with every device or browser
Temporary downtime for maintenance, upgrades, repairs, or events beyond reasonable control shall not constitute a service deficiency. We disclaim warranties, including merchantability and fitness for a particular purpose, to the maximum extent permitted by law.
12. Force Majeure
We shall not be liable for delay or failure caused by events beyond reasonable control including:
- natural calamities
- pandemic/epidemic
- strikes or labour disputes
- government action or regulation
- war or civil unrest
- power/infrastructure outages
- third-party service failure
13. Invoices and Records
Invoices/receipts will be issued electronically to the registered email ID or made available within the platform or shared with you directly.
14. Data Protection & Privacy (DPDP Act Compliance)
We comply with the Digital Personal Data Protection Act, 2023. Personal data shall be processed:
- lawfully and for specified purposes
- with appropriate notice and consent
- with rights to access, correction and grievance redressal
Data may be stored or processed with trusted third-party service providers, including cross-border storage where legally permitted. A separate Privacy Policy governs detailed obligations.
15. Relationship Disclaimer
Nothing in these Terms shall be deemed to constitute:
- partnership
- employment
- principal-agent
- fiduciary relationship
between the parties.
16. Governing Law, Dispute Resolution & Jurisdiction
These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved amicably. Failing which, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996:
- seat & venue: Indore, Madhya Pradesh
- language: English
- arbitrator: Sole arbitrator mutually appointed
Subject to the arbitration clause, courts at Indore, Madhya Pradesh shall have exclusive jurisdiction, subject to applicable consumer protection laws.
17. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated through website updates, email or in-app notification. Continued use of Services after such changes constitutes acceptance.
18. Severability
If any provision is held invalid, the remaining provisions shall continue in full force and effect.
19. Survival
Clauses relating to license, intellectual property, payment obligations, refunds, limitation of liability, dispute resolution, indemnity and jurisdiction shall survive termination.
FinTech & Mutual Fund Disclaimer
REDVision Global Technologies is a technology service provider offering back-office software and fintech solutions.
We:
- do not collect or handle investors’ mutual fund transaction monies
- do not execute transactions
- do not hold investor funds
All investment transactions are executed directly through:
- Asset Management Companies (AMCs)
- registered platforms/exchanges
- payment gateways
- banks
We do not act as:
- intermediary/broker/distributor
- custodian
- investment advisor
unless expressly agreed in writing and duly registered as required by law. We do provide investment advice. Users must seek independent financial advice before investing. We are not responsible for losses arising from investment transactions executed outside our control systems.
